Terms & Conditions – Redak Application & Redak Dashboard

These Terms & Conditions (“Terms”) govern your access to and use of the Redak Dashboard (provider web and mobile applications) and the Redak Application (end-user mobile application) operated by Diamond Steel (“Company,” “we,” “our,” “us”).

The Redak Dashboard is intended for providers (estate owners/operators and their authorized staff).

The Redak Application is intended for end users (consumers) to discover estates and make reservations.

By creating an account or using any part of Redak, you agree to these Terms. If you do not agree, do not use Redak.

1) Definitions

Dashboard: The provider/owner tools available via web and mobile to manage estates, content, and reservations.

Application / User App: The consumer-facing mobile app used by end users to discover estates and make reservations.

Provider / you: The estate owner/operator or authorized staff using the Dashboard.

End User: A consumer using the Application to make a reservation.

Estate: A location or property you register and manage (e.g., hotel/“hottel”, restaurant, coffee shop).

End-User Data: Personal data about an End User (e.g., name, phone number, gender, birthdate, location, ratings).

Provider Data: Personal data about a Provider or staff (e.g., name, contact details, ratings, estate documents).

Content: Text, images, videos, documents, and other materials uploaded or entered in Redak.

2) Scope & Product Relationship

The Dashboard is for Providers only; end-user accounts are not permitted to access it.

The Application is for End Users.

Reservations created by End Users in the Application are visible to and controllable by Providers in the Dashboard (e.g., view, confirm, reschedule, or decline) subject to these Terms, your posted policies, and applicable law.

3) Eligibility & Accounts

You must be legally capable of entering into these Terms and, if you are a Provider, authorized to act for the Estate(s) you manage.

You are responsible for accurate account information and for safeguarding your credentials.

You are responsible for all activity under your account. Notify us at acc@dhtechs.net

 of any unauthorized use.

4) Acceptable Use

You agree not to:

Violate any law, regulation, or third-party right.

Upload unlawful, misleading, defamatory, infringing, or harmful Content.

Access accounts, data, or systems without authorization; interfere with Redak’s operation; bypass security or rate limits; or impose unreasonable load.

We may suspend or terminate access if we believe these Terms are violated.

5) Listings, Documents & Reservations

Listings & Documents: You are solely responsible for the accuracy and legality of your Estate listings and any documents you upload (e.g., facility/license/tax PDFs).

Reservations:

End Users create reservations via the Application.

Providers manage those reservations in the Dashboard (accept/decline/modify) consistent with their posted policies (cancellation, no-show, fees) and applicable law.

Providers must communicate policies clearly and honor them once a reservation is accepted.

Messaging/Notifications: If used, you must comply with applicable laws (e.g., required consents).

6) Data We Process

6.1 End-User Data (primarily collected via the Application; surfaced to Providers in the Dashboard for legitimate business purposes)

Gender

Birthdate

Location (as provided/consented)

Ratings (by or about users, where applicable)

Reservation details and history

Account credentials (passwords are stored hashed and never shared in plaintext)

6.2 Provider Data (collected via the Dashboard)

Name and contact information (e.g., email)

Account credentials (passwords stored hashed)

Ratings (by or about providers, where applicable)

Estate details (name, branch, type, amenities, pricing)

Estate documents (e.g., facility/license/tax PDFs)

Operational details (menus, media, policies, availability)

How we use data: to operate, maintain, secure, and improve Redak; enable reservations and related communications; display listings; provide support; and comply with legal obligations.

Storage & Security: We implement reasonable technical and organizational measures to protect data. No method of transmission or storage is 100% secure.

Privacy Notice: These Terms summarize data practices. For details on legal bases, retention, sharing, international transfers, and your privacy rights, see our Privacy Policy (provided separately).

7) Roles & Responsibilities for Personal Data

Providers must ensure they have a lawful basis to access and process End-User Data (e.g., to manage reservations and customer relationships) and must comply with applicable data-protection laws.

8) Content & Intellectual Property

You retain ownership of your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and distribute your Content as necessary to operate Redak.

You represent you have all rights to upload your Content and documents.

Redak and its underlying technology are owned by us and our licensors. You receive a limited, revocable, non-transferable license to use Redak per these Terms.

9) Third-Party Services

Redak may rely on third-party hosting, storage, analytics, or authentication (e.g., cloud databases, object storage). Your use of features that integrate third-party services may be subject to their terms.

10) Fees & Taxes

If we introduce paid features or fees, we will provide applicable terms describing pricing, billing, and taxes. You are responsible for taxes associated with your sales/reservations.

11) Warranties & Disclaimers

REDAK (DASHBOARD AND APPLICATION) IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT REDAK WILL BE ERROR-FREE OR UNINTERRUPTED.

12) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES; OR FOR LOST PROFITS, LOST REVENUE, OR LOSS OF DATA. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO REDAK WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US (IF ANY) IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $100.

(Some jurisdictions do not allow certain limitations; where prohibited, we limit liability to the maximum extent allowed.)

13) Indemnification

You agree to defend, indemnify, and hold harmless Diamond Steel and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of Redak; (b) your Content/documents/listings; (c) your violation of these Terms or law; or (d) your dealings with End Users (including reservation handling and policies).

14) Suspension & Termination

We may suspend or terminate access to Redak at any time for any reason, including violations of these Terms or legal requirements. You may stop using Redak at any time. Sections that by their nature should survive (e.g., IP, Disclaimers, Limitation of Liability, Indemnification, Governing Law) will survive termination.

15) Changes to Redak or These Terms

We may update Redak and/or these Terms from time to time. Material changes will be notified via Redak or by email. Your continued use after changes become effective constitutes acceptance.

16) Governing Law & Dispute Resolution

These Terms are governed by the laws of Saudi Arabia, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction and venue of the courts located in Riyadh, Saudi Arabia.
